Challenges in Dutch multinational parent-subsidiary relationships
Engelstalige studie naar ESG-beleid
Deze Engelstalige studie analyseert hoe Nederlandse moeder- of dochterondernemingen, die deel uitmaken van een internationaal en economisch actief concern, mogelijke negatieve effecten van hun bedrijfsactiviteiten aanpakken via ESG (Environmental, Social, Governance). Het onderzoek richt zich op de daadwerkelijke implementatie en uitvoering van ESG-beleid. De gebruikte methoden voor deze analyse zijn divers en omvatten interdisciplinair juridisch-economisch onderzoek en interviews.
Variatie & uniformiteit in ESG-strategieën
De conclusies van dit rapport zijn drievoudig. Ten eerste wordt aangetoond dat juridische en operationele bedrijfsstructuren vaak duidelijk van elkaar te onderscheiden zijn. Ten tweede is er een grote variatie tussen organisaties in de gekozen aanpak voor de implementatie en uitvoering van ESG-beleid. Ten derde, en misschien wel het belangrijkste, blijkt dat zelfs organisaties die streven naar gecentraliseerde besluitvorming, door een verscheidenheid aan factoren in de praktijk niet altijd in staat zijn een uniforme ESG-strategie te hanteren. Deze observaties hebben belangrijke gevolgen voor het debat over ESG-beleid en vormen ook een basis voor toekomstig onderzoek.
Wat is de ICFG-reeks?
Het ICFG (International Center for Financial law & Governance) is het multidisciplinaire onderzoekscentrum van de Erasmus School of Law op het gebied van financieel recht en governance. De ambitie van het ICFG is om nationale en internationale academici, professionals en studenten samen te brengen om zo een hoogwaardige uitwisseling van ideeën te bevorderen met betrekking tot financiële bedrijven en andere organisaties die actief zijn op de financiële markten. De ICFG-reeks bevat publicaties die de onderzoeksactiviteiten van het ICFG en zijn onderzoekers weerspiegelen.
This study analyzes how a Dutch parent or subsidiary entity, which holds or is part of an international and economically active group, addresses (potential) negative effects of its business activities via ESG. The research focuses on the actual implementation and execution of ESG policies. The methods used for this analysis are diverse and include interdisciplinary legal-economic research and interviews.
The conclusions of this report are threefold. First, it is shown that legal and operational business structures are often rather distinct concepts. Second, there exists a great variety between organizations in terms of the approach chosen for the implementation and execution of ESG policies. Third, and perhaps most fundamentally, even organizations that strive for centralized decision-making may, due to a wide variety of factors, in practice not always be able to have a unified ESG strategy. These observations carry significant implications for the ESG policy-making debate and also form a basis for future research.
The ICFG (International Center for Financial law & Governance) is the multidisciplinary research centre of the Erasmus School of Law in the field of financial law and governance.
